Terms of Service

Welcome to PlexAI, an AI-powered software-as-a-service (SaaS) platform designed to support commercial real estate acquisition workflows, including deal sourcing, underwriting, market analysis, due diligence, collaboration, and related processes (the "Platform" and/or the "Services").

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE PLATFORM.

1. Background

The Platform is operated and owned by PlexAI Real Estate Ltd. ("PlexAI", "we", "us" or "our").We provide the Platform to commercial real estate investment firms, funds, operators, financial institutions, and similar organizations that manage real estate investments (each, a "Customer").

Customers may grant access to the Platform to:

  • Authorized personnel responsible for managing and operating the Platform on behalf of the Customer ("Admin Users"); and
  • Other permitted users, including analysts, associates, executives, or external parties, as authorized by the Customer ("End Users").

Admin Users and End Users are collectively referred to as "Users" or "you."

2. Acceptance of the Terms

BY CLICKING "I AGREE," OR BY ACCESSING OR USING THE PLATFORM, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE (the "Terms").


If you do not agree to these Terms, or if you lack authority to bind the entity you represent, do not access or use the Platform.You waive any rights to require non-electronic signatures or records, to the extent permitted by law.

3. Modification of Terms

We may modify these Terms from time to time at our sole discretion.
Continued use of the Platform following any update constitutes acceptance of the revised Terms.

4. Eligibility and Legal Capacity

The Platform is intended solely for Users who have the legal capacity to form a binding agreement under applicable law ("Legal Capacity").
If you do not have Legal Capacity, you may not use the Platform without the consent and supervision of a legal guardian.
PlexAI bears no liability for violations of this requirement.

5. License Grant

Subject to these Terms, PlexAI grants the Customer, and on its behalf each authorized User, a limited, revocable, non-exclusive, non-transferable, 
non-assignable, and non-sublicensable license (the "License") to access and use the Platform solely for the Customer's internal business purposes, on devices owned or controlled by the User.

6. License Restrictions

You shall not, directly or indirectly:

  • Copy, modify, distribute, or create derivative works of the Platform;
  • Reverse engineer, decompile, disassemble, decrypt, or attempt to derive source code;
  • Use the Platform for benchmarking, competitive analysis, or monitoring availability or performance;
  • Circumvent or interfere with security or access-control mechanisms;
  • Use automated systems (e.g., bots, scrapers, spiders) to access the Platform;
  • Make the Platform available to unauthorized users or third parties;
  • Remove or obscure proprietary notices;
  • Use PlexAI trademarks, logos, or branding without prior written consent;
  • Use the Platform in violation of applicable laws or regulations;
  • Use the Platform for unlawful, harmful, misleading, or abusive purposes.

7. Platform Use and Instructions

Users must comply with all operational guidelines, instructions, and limitations displayed within the Platform.
Customers are responsible for ensuring that all authorized Users understand and comply with these Terms.

8. User Content and Data Uploads

You may upload financial, operational, or other data as required by the Customer ("Customer Data"). You agree that:

  • You will only upload data you are authorized to provide;
  • You will not upload third-party personal or confidential information without proper authorization;
  • You are solely responsible for the accuracy, completeness, and legality of Customer Data.

acqwiz does not verify Customer Data and shall not be liable for errors, omissions, or decisions made based on such data.

9. Third-Party Services

The Platform may integrate or rely on third-party software, APIs,
or services.
Such services are provided "as is" and governed solely by the third party's terms and policies.
PlexAI bears no responsibility or liability for third-party services, and your use of them is entirely at your own risk.

10. No Financial, Investment, or Legal Advice

PlexAI does not provide investment, financial, tax, accounting, or legal advice.
Any insights, analytics, recommendations, or outputs generated by the Platform (including AI-generated content) are informational only and must not be relied upon as professional advice.
You are solely responsible for all investment decisions and actions.

11. Accounts and Security

Certain Services require account registration ("Account").

  • Admin Users may create Accounts for End Users only as authorized by the Customer.
  • Users are responsible for safeguarding login credentials.
  • All activity under an Account is the responsibility of the User and the Customer.

You must notify PlexAI immediately of any unauthorized access or security breach.

12. Feedback

Any feedback, suggestions, or ideas provided to PlexAI ("Feedback") shall be deemed non-confidential and fully owned by PlexAI.
You irrevocably assign all intellectual property rights in such Feedback to PlexAI without compensation.

13. Suspension or Termination

13.1 Suspension Due to Non-Payment

Failure by a Customer to pay applicable fees may result in suspension or termination of access for all Users.
PlexAI bears no liability for resulting data loss or interruption.

13.2 Customer-Initiated Suspension

Customers may suspend or terminate User access at their discretion.

13.3 Account Closure

Users wishing to close an Account must contact their Customer. PlexAI cannot deactivate Accounts without Customer authorization, except as required by law.

14. Updates, Revisions, and Support

PlexAI may release updates, upgrades, or modifications ("Revisions") at its discretion, including automatic updates.
Support may be provided via email, chat, or other means, but PlexAI does not guarantee availability or response times.

15. Intellectual Property

All Platform content, software, AI models, interfaces, text, graphics, and trademarks ("Content") are owned by PlexAI or its licensors.
No rights are granted except as expressly stated in these Terms.

16. Customer Data Ownership

As between PlexAI and the Customer:

  • The Customer retains full ownership of Customer Data.
  • PlexAI may process Customer Data solely to provide the Services.
  • PlexAI may generate anonymized, aggregated insights for internal analytics and product improvement.

17. Privacy and Data Protection

Processing of personal data is governed by PlexAI's Data Processing Agreement (DPA) andPrivacy Policy, available upon request.

18. Warranty Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

PlexAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
PlexAI DOES NOT GUARANTEE UNINTERRUPTED OPERATION, ERROR-FREE OUTPUTS, OR AI-GENERATED RESULTS.

19. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

* PlexAI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES;
* TOTAL LIABILITY TO A USER SHALL NOT EXCEED USD $100;
* TOTAL LIABILITY TO A CUSTOMER SHALL NOT EXCEED FEES PAID IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

20. Indemnification

You agree to indemnify and hold harmless Plex and its affiliates from any claims arising from:


  • Your use of the Platform;
  • Your violation of these Terms;
  • Your data or actions.

21. Term and Termination

These Terms remain effective until terminated by you or PlexAI.
Upon termination, all licenses granted hereunder immediately cease.

22. Assignment

You may not assign these Terms without prior written consent. PlexAI may assign freely.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel.
Exclusive jurisdiction lies with the competent courts of Tel Aviv-Yafo, Israel, except that PlexAI may seek injunctive relief in any jurisdiction.

24. General

  • These Terms constitute the entire agreement regarding Platform use.
  • If any provision is held invalid, the remaining provisions remain in effect.
  • Any claim must be brought within one (1) year of accrual.
